二 | 招股书及年报涉虚假记载 佳缘科技于2026年7月8日收到中国证监会出具的《立案告知书》，2026年8月21日，公司收到中国证监会下发的《行政处罚事先告知书》。 经查明，佳缘科技自2019年起与某客户（下简称客户A）开展网络信息安全业务，该客户为公司2019年第二大客户、2020年第一大客户。 2019年、2021年和2022年，公司与客户A签署多份科研合同或电子产品采购合同，在不符合收入确认条件的情况下提前确认收入，导致公司2019年至2022年营业收入分别虚增2015.60万元、虚减2015.60万元、虚增2803.38万元、虚减2562.47万元，利润总额分别虚增1613.84万元、虚减1613.84万元、虚增1803.93万元、虚减1634.45万元。 此外，2020年，佳缘科技介入无锡金都机械装备有限公司与昆明博远中菱科技有限公司之间正在履行的购销业务链条，相关交易不具备商业实质，导致公司虚增营业收入1327.95万元，虚增利润总额44.24万元。 上述两项违法行为导致佳缘科技2019年至2022年营业收入分别虚增2015.60万元、虚减687.65万元、虚增2803.38万元、虚减2562.47万元，占当期披露营业收入绝对值的15.39%、3.61%、8.85%和9.51%。同期，对应利润总额分别虚增1613.84万元、虚减1569.60万元、虚增1803.93万元、虚减1634.45万元，占当期披露利润总额绝对值的44.02%、25.80%、16.95%和24.43%。 在佳缘科技披露的《招股说明书》中，2019年、2020年财务数据及2021年和2022年年度报告内容存在虚假记载。 依据证券法第一百九十七条第二款的规定，中国证监会拟决定：对佳缘科技责令改正，给予警告，并处以600万元罚款；对王进给予警告，并处以300万元罚款；对朱伟华、柳絮给予警告，并分别处以200万元罚款；对尹明君给予警告，并处以150万元罚款。其中，王进为公司实际控制人之一、董事长，朱伟华为公司副总经理，柳絮为公司财务总监，尹明君为公司实际控制人之一、曾任公司董事会秘书和副总经理。 8月25日起实施其他风险警示 根据《深圳证券交易所创业板股票上市规则》第9.4条规定，上市公司出现“根据中国证监会行政处罚事先告知书载明的事实，公司披露的年度报告财务指标存在虚假记载，但未触及第10.5.2条第一款规定情形”的，深交所对其股票交易实施其他风险警示。 佳缘科技公告称，其行为尚未触及重大违法强制退市情形。 对于撤销其他风险警示的条件，公司公告介绍，根据《深圳证券交易所创业板股票上市规则》第9.11条规定，上市公司因触及第9.4条第七项情形被实施其他风险警示后，同时符合已就“财务会计报告进行追溯重述”及“自中国证监会作出行政处罚决定书之日起已满十二个月”两项条件的，可以向深交所申请撤销其他风险警示。佳缘科技称其将做好相关工作并在满足条件后争取尽快申请撤销。
